Terms of Service — Suki App

1. Acceptance of terms

By registering for or using Suki App (“Suki”, “we”, “us”, “our”), accessible at https://suki-app.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the service.

References to “you” or “Merchant” mean the business or individual who registers and manages an account on Suki. References to “end customers” mean the people who interact with your bot on Facebook Messenger.

2. Description of service

Suki is a software-as-a-service (SaaS) platform that allows small businesses to automate order-taking, customer communication, and sales operations through Facebook Messenger. The service includes a web dashboard, a Messenger bot engine, automated notifications, reporting tools, and associated APIs.

Suki is not affiliated with Meta Platforms, Inc. Facebook and Messenger are trademarks of Meta Platforms, Inc.

3. Account registration

You must provide accurate and complete information when creating an account.
You are responsible for maintaining the confidentiality of your login credentials.
You are responsible for all activity that occurs under your account.
You must notify us immediately at hello@suki-app.com if you suspect unauthorized access to your account.
Each account corresponds to one business. You may not share your account with other businesses or individuals without our written consent.

4. Free trial and paid plans

New accounts receive a 7-day free trial with full access to all features. No payment information is required to start a trial.

After the trial period, continued use of the service requires an active paid subscription. Paid plans are billed monthly at the rate displayed on the pricing page at the time of purchase. Payments are processed securely by PayMongo and are subject to PayMongo’s terms and policies.

Subscriptions renew automatically every 30 days. If a payment fails or is not renewed, the account is downgraded and bot functionality is suspended until payment is completed.

We reserve the right to change pricing with at least 14 days’ notice to active subscribers.

5. Refund policy

We do not offer refunds for partial subscription periods. If you cancel your subscription, you retain access to the service until the end of the current billing cycle. After that, your account is downgraded and no further charges are made.

Exceptions may be made at our sole discretion for cases of documented technical failure on our side that prevented normal service use. To request a refund consideration, contact hello@suki-app.com within 7 days of the charge.

6. Acceptable use

You agree not to use Suki to:

Send unsolicited bulk messages (spam) to end customers beyond what the platform supports (re-order nudges and promo blasts to your own customers who have previously initiated contact).
Violate Meta’s Messenger Platform Policy or Community Standards.
Sell illegal goods or services, or engage in fraudulent activity.
Collect or process sensitive personal data (financial account numbers, government IDs, health records) through the Messenger bot without appropriate safeguards and disclosures.
Attempt to reverse-engineer, scrape, or abuse the Suki API or infrastructure.
Impersonate another business or individual.

Violation of this section may result in immediate suspension or termination of your account without refund.

7. Merchant responsibilities

As a Merchant using Suki, you are solely responsible for:

The accuracy of your product listings, prices, and business information.
Fulfilling orders placed by your customers through the bot.
Complying with applicable local laws regarding your business operations, taxes, and consumer rights.
Informing your end customers that their messages are processed by an automated bot and that their order data is stored.
Obtaining any necessary consents from your end customers for proactive messaging (re-order reminders, promo blasts).
Maintaining compliance with Meta’s platform policies for your connected Facebook Page.

8. Intellectual property

Suki and its original content, features, and functionality are and will remain the exclusive property of Suki App and its creators. You may not copy, modify, distribute, or reverse-engineer any part of the service without prior written permission.

You retain ownership of all content you upload to the platform (product images, business descriptions, etc.). By uploading content, you grant Suki a limited, non-exclusive license to store and display that content solely for the purpose of providing the service to you.

9. Service availability

We strive to maintain high availability but do not guarantee uninterrupted service. Suki may be temporarily unavailable due to maintenance, infrastructure issues, or events outside our control. We are not liable for any losses resulting from service downtime.

We reserve the right to modify, suspend, or discontinue any part of the service at any time with reasonable notice to active subscribers.

10. Limitation of liability

To the maximum extent permitted by applicable law, Suki shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of revenue, lost orders, or data loss, arising from your use of or inability to use the service.

Our total liability to you for any claim arising out of or relating to these terms or the service shall not exceed the amount you paid to Suki in the 30 days immediately prior to the event giving rise to the claim.

11. Termination

You may terminate your account at any time by contacting us. We may suspend or terminate your account immediately if you violate these terms, engage in fraudulent activity, or if required by law.

Upon termination, your access to the dashboard and bot functionality will be revoked. Your data will be retained for 30 days after termination, after which it will be permanently deleted. You may request an export of your data before termination.

12. Changes to these terms

We may update these terms from time to time. When we do, we will update the “Last updated” date at the top and notify active subscribers by email at least 7 days before changes take effect. Continued use of the service after the effective date constitutes acceptance of the revised terms.

13. Governing law

These terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of the Philippines.
